Terms & Software Licence

These terms govern your download and use of the KaiTerm desktop application, website, account service, and KaiTerm Pro features. The software and services are provided under the KaiTerm name. Contact: [email protected]. By installing, purchasing, or using KaiTerm, you agree to these terms. If you do not agree, do not use the software or services.
Software licence
Subject to these terms, KaiTerm grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the application for your personal or internal business purposes. The software is licensed, not sold. KaiTerm and its licensors retain all rights not expressly granted.
You may not redistribute, resell, sublicense, rent, or provide the application as a hosted service; remove proprietary notices; or reverse engineer or circumvent technical restrictions, except to the extent such a restriction is prohibited by applicable law. You may make reasonable backup copies for your own use.
Standard and Pro
Standard features are available without a paid subscription, subject to the limits described in the application and website. KaiTerm Pro requires an active subscription and provides the features advertised for the applicable plan. We may improve, replace, or discontinue features, but will not remove mandatory rights or avoid obligations already owed to you.
Purchases, renewal, and Paddle
Paddle is KaiTerm’s merchant of record and authorised reseller. Paddle processes checkout, payment, tax, invoices, subscription administration, and applicable refunds under the Paddle Buyer Terms. Pro subscriptions renew for the period shown at checkout until cancelled. Prices, billing interval, taxes, and renewal information are shown before purchase. See Refunds & Cancellation.
Accounts and security
You are responsible for the accuracy of your account information, the security of your device, passkeys, recovery codes, sync passphrase, provider credentials, and actions taken through your account. Notify us promptly if you believe an account or entitlement has been compromised. Do not attempt to bypass plan limits, access another person’s account, disrupt the service, or use KaiTerm unlawfully.
Encrypted sync and backups
KaiTerm encrypts sync content in the desktop application before upload. You are responsible for remembering and protecting the sync passphrase and recovery material. We may be unable to recover encrypted content if those are lost. Synchronisation is not a substitute for maintaining appropriate backups. You should verify backups before relying on them.
Remote systems, automation, and AI
KaiTerm executes connections and commands that you configure. You must have permission to access every target and are responsible for reviewing commands, automation, tunnel exposure, file transfers, and their effects. AI output may be inaccurate, insecure, or unsuitable. AI commands require your judgement and should be verified before approval. KaiTerm does not guarantee results produced by third-party models.
Third-party software and services
KaiTerm interoperates with operating-system tools, OpenSSH, Mosh, FTP clients, secret providers, AI providers, Paddle, GitHub, and other third-party services. Their availability and terms are outside our control. Open-source components included with the application remain subject to their respective licences and notices.
Updates and support
We may provide bug fixes, security updates, compatibility changes, and feature updates. You are responsible for installing relevant updates and maintaining supported operating-system and third-party dependencies. Support can be requested at [email protected]; no guaranteed response or resolution time applies unless separately agreed.
Service availability
We aim to operate account and sync services reliably, but they may occasionally be unavailable due to maintenance, provider failures, security incidents, or circumstances outside our control. Nothing in these terms excludes obligations that cannot lawfully be excluded.
Warranties and liability
To the maximum extent permitted by law, KaiTerm is provided without additional warranties beyond those expressly stated and any mandatory statutory rights. We are not responsible for losses caused by unauthorised use, user-approved commands, misconfigured remote systems, loss of credentials or encryption material, third-party services, or failure to maintain backups.
Nothing in these terms limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or your mandatory consumer rights. Where liability can lawfully be limited, our aggregate liability relating to paid services will not exceed the amount paid for KaiTerm Pro during the 12 months preceding the event giving rise to the claim.
Termination
You may stop using KaiTerm at any time and may cancel Pro as described in the cancellation policy. We may suspend or terminate access where reasonably necessary for security, unlawful activity, material breach, non-payment, or protection of the service. Provisions concerning ownership, liability, and accrued rights survive termination where appropriate.
Governing law
These terms are governed by Irish law. If you are a consumer, this choice does not deprive you of mandatory protections or access to courts available under the law of your country of residence. Otherwise, the courts of Ireland have jurisdiction over disputes relating to these terms.
Changes
We may update these terms for legal, security, service, or product changes. Material changes affecting an active paid subscription will be notified where required. Continued use after an update takes effect constitutes acceptance only to the extent permitted by law.
